What this app is for

IDM Photoreport is a professional tool provided by your employer. It is for business use only — not personal use. Your employer has a contract with IDM that governs how the platform is operated.

Your account

Your account is set up by your employer's administrator (or by IDM/Partner on your employer's instruction) using an approved phone number. You cannot self-register. You log in with your phone number and a one-time code — no passwords.

What data we collect

  • Merchandisers: name, phone, job title, GPS location, photos, timestamps, activity statistics.
  • Moderators / Admins: name, phone, job title, device and access data.

We do not sell your data or use it for advertising. See our Privacy Policy.

Location access

Merchandisers must grant precise GPS access to submit reports. You are asked on first setup and each time you open a report. You can turn it off in phone settings, but you will not be able to submit reports without it.

Your photos and reports

Everything you upload belongs to your employer, not IDM. If your account is deleted but your reports are not, your name stays attached to historical reports to preserve audit records.

What you must not do

Do not submit false or staged reports. Do not share your account or auth codes. Do not tamper with the app. Violations may result in immediate suspension.

Updates to this agreement

If we make significant changes, the app will ask you to re-accept before continuing. The same applies if your phone number on the account is changed by an administrator.

1. Introduction and Acceptance

This End User Licence Agreement ("EULA") is a legally binding agreement between you, the individual user ("you" or "User"), and IDM Solutions LLC, a company registered in Tbilisi, Georgia ("IDM," "we," "us," or "our"), governing your use of the IDM Photoreport mobile application and any associated web interface (collectively, the "Application").

This EULA is between you and IDM only. Apple Inc. and Google LLC (the operators of the App Store and Google Play respectively) are not parties to this EULA and bear no responsibility for the Application or its content. Where you have downloaded the Application from the Apple App Store or Google Play, the terms of this EULA apply in addition to — and take precedence over — any conflicting terms in the relevant app store's standard end user licence agreement, except where the app store's terms impose additional requirements on IDM, in which case both sets of terms apply.

This EULA governs your permitted end-user use of the Application only. It does not create a separate subscription, billing, or procurement relationship between you and IDM; commercial service terms are agreed between IDM and the relevant Client (or End Client and Partner, where applicable).

By checking the acceptance box during the registration flow, you confirm that:
  • You have read, understood, and agree to be bound by this EULA in its entirety.
  • You are at least 18 years of age, or the minimum legal age of majority in your jurisdiction.
  • You are using the Application exclusively for professional and business purposes as an employee, contractor, or representative of the business client that has engaged IDM's Services.
  • You have the authority to accept this EULA in your individual capacity as an end user.

If you do not agree to this EULA, you must not register for, access, or use the Application.

Re-acceptance: If the phone number associated with your account is changed by an administrator — which may indicate that a different individual has assumed use of the account — you will be required to review and re-accept this EULA before you can continue using the Application. You will also be required to re-accept this EULA if IDM makes material changes to it, as described in Section 13.

2. Definitions

"Application"
means the IDM Photoreport mobile application available on iOS and Android, and any associated web interface, including all updates, upgrades, and new versions.
"Client"
means the business entity that has engaged IDM for access to the Services and on whose behalf you are using the Application. In Partner arrangements, this means the relevant End Client, while the Partner may administer the account on the End Client's behalf.
"Services"
means the IDM Photoreport platform and all features, tools, and functionality available through the Application.
"User Content"
means any photographs, images, data, text, geolocation information, and other content that you upload, submit, or generate through the Application.
"IDM Content"
means all software code, interfaces, algorithms, designs, trademarks, documentation, and other intellectual property owned or licensed by IDM that forms part of the Application.
"Personal Data"
has the meaning given in the EU General Data Protection Regulation (GDPR) and includes information that identifies or could reasonably identify you as an individual.
"Account"
means your individual user account within the Application, created by your Client's administrator, by an authorised Partner administrator in a Partner arrangement, or by IDM on their behalf.

3. Account Registration and Eligibility

3.1 How Accounts Are Created

Accounts on the IDM Photoreport platform are not self-created. The following registration process applies depending on your role:

  • Administrators: Administrator accounts are created directly by IDM. To be registered as an administrator, your phone number must be submitted to IDM by your Client or, in Partner arrangements, through the Partner acting on the End Client's instructions. IDM will provision your account, after which you may access the Application using your registered phone number and a one-time authentication code. Administrators may update their own credentials through the account settings interface.
  • Moderators and Merchandisers: Your account is created by your Client's administrator or an authorised Partner administrator acting for your Client, who registers the phone number(s) authorised for use and may pre-configure your display name. If your name has not been pre-configured, you will be prompted to enter it during the registration flow. Registration is only possible using a phone number that has been authorised in advance by your administrator. Unauthorised phone numbers cannot be used to register.

3.2 Authentication

The Application uses a passwordless authentication model. You log in using your registered phone number and a one-time authentication code sent to that number. Authentication codes are valid for ten (10) minutes from the time of issuance and expire automatically thereafter. No passwords are stored by IDM.

3.3 Your Responsibilities

You are responsible for:

  • Keeping your registered phone number secure and not sharing your authentication codes with any other person.
  • Notifying your administrator immediately if you believe your account has been accessed by an unauthorised person.
  • Ensuring that all information you provide during registration is accurate and up to date.
  • All activity that occurs under your account.

3.4 One Account Per Individual

Each account is intended for use by a single, genuine individual. You must not share your account credentials with or allow access to your account by any other person.

3.5 Professional Use Only

The Application is designed exclusively for professional and business use. You must not use the Application for any personal, consumer, or non-commercial purpose.

4. Licence Grant

Subject to your compliance with this EULA and any instructions issued by your Client or its administrators, IDM grants you a limited, non-exclusive, non-transferable, revocable, royalty-free licence to:

  • Download and install the Application on a compatible mobile device that you own or control.
  • Access and use the Application solely for the professional purposes for which it has been made available to you by your Client.

This licence does not grant you any rights to the underlying source code, algorithms, or IDM Content beyond what is necessary to use the Application as described above. All rights not expressly granted are reserved by IDM.

5. Restrictions on Use

You must not, and must not attempt to:

  • Use the Application for any purpose other than the business purposes for which your Client has engaged IDM's Services.
  • Share, transfer, sublicence, or otherwise make your account or the Application available to any other person.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying logic of the Application, except to the extent expressly permitted by applicable law.
  • Modify, adapt, translate, or create derivative works based on the Application or any part of it.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or displayed by the Application.
  • Upload, submit, or transmit any User Content that is false, fabricated, misleading, defamatory, obscene, unlawful, or in violation of any third party's rights.
  • Submit falsified or manipulated geolocation data, timestamps, or photographic content through the Application.
  • Introduce malicious code, viruses, or any disruptive material into the Application or IDM's infrastructure.
  • Attempt to gain unauthorised access to any part of the Application, IDM's systems, or any other user's account.
  • Use the Application in a way that places disproportionate load on IDM's infrastructure or interferes with other users' access.
  • Use the Application in any manner that violates applicable law, including data protection law.

6. User Content

6.1 Your Responsibilities for User Content

You are solely responsible for all User Content you submit through the Application. By submitting User Content, you represent and warrant that:

  • You have the right to submit and use the content in connection with the Application.
  • The content is accurate, genuine, and not falsified.
  • The content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
  • The content is not unlawful, defamatory, obscene, or otherwise in violation of applicable law.

6.2 Ownership of User Content

All User Content you submit remains the property of your Client. IDM does not claim ownership of User Content. By submitting User Content, you grant IDM a limited licence to store, process, and display it solely for the purpose of delivering the Services to your Client.

6.3 Accuracy of Reports

Photoreports submitted through the Application are used by your Client for retail audit and merchandising verification purposes. You must ensure that all reports you submit are accurate, timely, and reflect genuine field conditions. Submission of false, staged, or manipulated reports is a serious violation of this EULA and may have consequences under your employment or contractual relationship with your Client.

6.4 Retention of User Content in Reports

You acknowledge that User Content you upload — including your display name and user identifier — may be retained by your Client within historical report records even after your account has been deleted. This is necessary to preserve the integrity of audit records. Please refer to IDM's Privacy Policy for further information.

7. Geolocation and Device Permissions

7.1 Geolocation (Merchandisers Only)

If you use the Application in a Merchandiser role, the Application requires access to your device's precise GPS location at two points: during account initialisation after your first sign-in, and each time you open a report for upload. Precise location access is essential to the core functionality of the platform — it is used to verify the location at which a Photoreport was submitted. Approximate location is not sufficient for this purpose.

If GPS signal is weak at the time of submission, the Application may supplement GPS data with network-based location data (Wi-Fi or cellular) to maintain accuracy.

You grant this permission through your device's operating system dialogue. You may revoke location permission at any time through your device settings; however, doing so will prevent you from submitting reports.

IDM is not responsible for inaccuracies in geolocation data caused by device hardware limitations, GPS signal conditions, or environmental factors beyond its control. IDM retains responsibility for geolocation errors caused directly by bugs in the Application code.

7.2 Camera and Storage

If you use the Application in a Merchandiser role, the Application requests access to your device's camera and local storage solely to enable the capture and submission of Photoreports. These permissions are requested through your device's operating system and are not used for any other purpose.

7.3 Push Notifications

The Application may request permission to send you push notifications regarding your account or report activity. You may opt out of push notifications at any time through your device settings.

7.4 Data Collected Through Permissions

All Personal Data collected through the permissions described in this section is processed in accordance with IDM's Privacy Policy.

8. Offline Functionality

The Application currently requires an active internet connection for all operations, including report submission. IDM intends to introduce offline functionality for certain critical processes — such as the ability to draft and locally save reports for submission when connectivity is restored — in a future update. This intention does not constitute a contractual commitment; the availability, scope, and timing of any offline functionality will be communicated through Application updates and release notes.

Where offline functionality is available in a future version, any data saved locally on your device will be processed in accordance with this EULA and the Privacy Policy upon submission.

9. Privacy and Personal Data

9.1 What We Collect

IDM collects and processes Personal Data about you in connection with your use of the Application. The categories of data collected, the purposes of processing, the legal bases, and your rights are described in detail in IDM's Privacy Policy.

9.2 Your Client as Data Controller

Your Client — the business entity that has engaged IDM's Services — acts as the data controller with respect to your Personal Data. IDM processes your Personal Data as a data processor on your Client's behalf, in accordance with IDM's Data Processing Agreement with your Client. In Partner arrangements, the relevant End Client remains the data controller, while the Partner may act as an administrative intermediary. Your Client remains responsible for informing you of your rights and of how your Personal Data is used in connection with the Services.

9.3 Your Rights

Depending on your location, you may have rights under applicable data protection law, including the GDPR, to access, correct, restrict, object to, or request deletion of your Personal Data. To exercise these rights, you may contact IDM at privacy@idm.llc or visit https://idm.llc/en/contact. IDM may acknowledge, log, and process your request in line with the controller's documented instructions while copying the relevant controller and, where practicable, the Partner in Partner arrangements.

9.4 Transparency Regarding Retained Data

You acknowledge the following data handling behaviours specific to the Application:

  • Post-deletion name retention: If your account is deleted, your display name and user identifier may be retained within historical Photoreport records that you submitted. Your account record is permanently deleted, but the name reference in reports is preserved to maintain audit trail integrity.
  • Error reporting: IDM uses Sentry for application stability monitoring. Your username may also be transmitted to Sentry where it is necessary to identify and resolve a reported error. Access to Sentry error logs is restricted to authorised IDM engineering personnel.

10. Intellectual Property

10.1 IDM's Intellectual Property

All rights, title, and interest in and to the Application and IDM Content — including the software, code, interfaces, designs, algorithms, trademarks, and documentation — are and remain the exclusive property of IDM or its licensors. Nothing in this EULA transfers any ownership of IDM Content to you. You receive only the limited usage rights expressly granted in Section 4.

10.2 Feedback

If you provide IDM with feedback, suggestions, or ideas relating to the Application, IDM may use such feedback freely without restriction or any obligation to you.

10.3 Third-Party Components

The Application integrates certain third-party services, including Google Maps Platform and YouTube (via privacy-enhanced embed at youtube-nocookie.com). Your use of these features is subject to the terms and privacy policies of the respective providers. Links to the applicable policies are available within the Application and in IDM's Privacy Policy.

11. App Store Provisions

Apple App Store

If you downloaded the Application from the Apple App Store, the following additional terms apply:

  • This EULA is concluded between you and IDM only, not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content.
  • The licence granted to you under this EULA is limited to use of the Application on any Apple-branded device that you own or control, as permitted by the App Store usage rules set forth in Apple's Terms of Service.
  • Apple has no obligation to provide any maintenance, support, or update services in relation to the Application. Any support requests must be directed to IDM at support@idm.llc.
  • Apple has no warranty obligations in relation to the Application. To the maximum extent permitted by applicable law, Apple will have no warranty obligation whatsoever with respect to the Application.
  • Apple is not responsible for addressing any claims by you or any third party relating to the Application or your possession or use of it, including product liability claims, failure to conform to applicable legal or regulatory requirements, or claims arising under consumer protection, privacy, or similar legislation.
  • In the event of any third-party claim that the Application or your possession and use of it infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defence, settlement, or discharge of such claim — that is IDM's responsibility under this EULA.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or designated by the U.S. Government as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.
  • You must comply with all applicable third-party terms when using the Application (e.g. your wireless data service agreement).

Google Play

If you downloaded the Application from Google Play, the following additional terms apply:

  • This EULA is concluded between you and IDM only, not with Google LLC ("Google"). Google is not responsible for the Application or its content.
  • The licence granted to you is limited to use of the Application in accordance with Google Play's developer distribution agreement and usage rules.
  • Google has no obligation to provide maintenance, support, or warranty services for the Application.
  • Any support requests must be directed to IDM at support@idm.llc.

12. Suspension and Termination

12.1 Termination by You

You may stop using the Application at any time. If you wish to have your account deactivated, you should contact your Client's administrator (or, in Partner arrangements, the authorised Partner administrator acting for your Client). Account deletion is managed by your Client's administrator, an authorised Partner administrator in Partner arrangements, or by IDM.

12.2 Termination or Suspension by Your Client

Your Client has the authority to deactivate or delete your account at any time, including upon the end of your employment or engagement. Upon account deletion, your account data is removed from active account systems in accordance with IDM's Privacy Policy. Historical report references and contractual retention obligations may continue as described in the Privacy Policy and Data Processing Agreement.

12.3 Suspension or Action by IDM

IDM reserves the right to immediately suspend your access to the Application, restrict specific functionality, or delete data associated with your account where IDM reasonably believes that:

  • You have materially violated this EULA, including by submitting falsified reports, misusing permissions, or engaging in prohibited conduct as described in Section 5.
  • Your use of the Application introduces a security risk, legal exposure, or reputational harm to IDM or other users.
  • Continued access by you poses a risk to the integrity of the platform or the data of other users.

IDM will notify your Client of any action taken under this section. Where practicable and where doing so does not compromise security or the investigation, IDM will also notify you directly.

12.4 Effect of Termination

Upon termination or deactivation of your account for any reason:

  • Your licence to use the Application is immediately revoked.
  • You must cease all use of the Application.
  • Any locally cached data on your device associated with the Application should be cleared via your device's application settings (Settings > Applications > IDM Photoreport > Storage > Clear Data).
  • Data retained by IDM after account deletion is handled in accordance with IDM's Privacy Policy and the Data Processing Agreement between IDM and your Client.

13. Updates to the Application and This EULA

13.1 Application Updates

IDM may from time to time release updates to the Application that add, modify, or remove features, at IDM's sole initiative and decision. IDM may consider user and Client requests, but is not obligated to deliver any specific update or maintenance item unless agreed in writing with the relevant Client.

Updates may be delivered through the Apple App Store or Google Play and are subject to this EULA. IDM recommends keeping the Application updated to the latest version to ensure security and access to current functionality.

13.2 Updates to This EULA

IDM may update this EULA from time to time to reflect changes in the Application, applicable law, or IDM's practices. Where changes are material, IDM will notify you by displaying a mandatory re-acceptance screen within the Application before you can continue using it. You will also be required to re-accept this EULA if the phone number associated with your account is changed by an administrator or by IDM, as this may indicate a change in the individual using the account.

Your continued use of the Application after re-acceptance constitutes your agreement to the revised EULA. If you do not accept the updated EULA, you will not be able to and must not continue using the Application.

14. Disclaimers

14.1 No Warranty

The Application is provided "as is" and "as available". To the maximum extent permitted by applicable law, IDM makes no representations or warranties of any kind, express or implied, regarding the Application, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

IDM will use reasonable efforts to fix confirmed critical bugs that can be fixed within IDM-controlled first-party code, within a reasonable time after identification. Non-critical bugs, maintenance, and updates are handled in good faith when feasible, but are not guaranteed and are provided at IDM's sole initiative and decision unless otherwise agreed in writing with the relevant Client.

14.2 Third-Party Services

The Application integrates third-party services (including Google Maps and YouTube). IDM is not responsible for the availability, accuracy, or content of those services, or for any changes in their terms or functionality.

14.3 Network and Device Dependency

The Application requires a compatible device and an active internet connection to function. IDM is not responsible for any failure to access the Application resulting from your device's hardware limitations, operating system version, internet connectivity, GPS signal quality, or any configuration within your own environment (including VPN software or browser settings on the web interface).

15. Limitation of Liability

To the maximum extent permitted by applicable law, IDM's total liability to you for any claim arising out of or in connection with this EULA or your use of the Application shall be limited to the greater of: (a) the amount, if any, paid by you directly to IDM for use of the Application in the twelve (12) months preceding the claim (which in most cases will be zero, as fees are paid by your Client); or (b) €100 EUR.

In no event shall IDM be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of data, or loss of goodwill, even if IDM has been advised of the possibility of such damages.

Nothing in this section limits IDM's liability for death or personal injury caused by IDM's gross negligence, or for any other liability that cannot be excluded or limited under applicable law.

16. Governing Law and Disputes

This EULA is governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law provisions. The Application is provided for professional and business use only; consumer protection legislation intended for personal, household, or consumer use does not apply.

Any dispute arising out of or in connection with this EULA shall first be addressed through good-faith negotiations. Either party may initiate this process by sending written notice to the other party. The parties shall attempt to resolve the dispute for thirty (30) days from the date of such notice.

If the dispute is not resolved within that period, either party may refer the dispute to binding arbitration in Tbilisi, Georgia, under the rules of the Georgian Permanent Arbitration Institution. The language of arbitration shall be English or Georgian, as agreed by the parties. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights pending resolution of the dispute.

17. General

17.1 Entire Agreement

This EULA, together with IDM's Privacy Policy, constitutes the entire agreement between you and IDM with respect to your use of the Application as an end user. IDM's Terms of Service, Partner Agreement Addendum, and Data Processing Agreement govern IDM's contractual relationship with Clients, End Clients, and Partners, and do not create direct payment obligations for you except where this EULA expressly states otherwise.

17.2 Severability

If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 No Waiver

IDM's failure to enforce any provision of this EULA shall not constitute a waiver of IDM's right to enforce it in the future.

17.4 Language

This EULA is written in English. Where a translation is provided for convenience, the English version shall prevail in the event of any conflict or ambiguity.
